Special Project Work

A Morningside professional was retained for special project work associated with a $4 billion carve-out of a global publicly traded industrial products and services company.

This included:

  • Development of processes and procedures to support stand-alone SEC-compliant and internal financial reporting supportive of PE sponsor requirements
  • Implementation of various programs to address issues created by the carve-out and multiple ERP systems
  • Successfully led a new $500M bond offering under Rule 144A

Restructuring & Reorganization Support

Morningside takes a holistic approach to restructuring and reorganization of companies and organizations. Our goal is to fix the underlying issues.

We look at financial, operational and organizational issues. Recently, Morningside professionals led the complete strategic realignment of a $60 million high growth but operationally stressed distribution business.

Deleveraging & Recapitalization

Morningside develops strategies and solutions for companies that have bad balance sheets, are overleveraged or have negative cash flow. We identify causes and develop working solutions and present them to key personnel, including management, shareholders, and key departments.

Recently, a Morningside professional implemented a turnaround of $100 million severely over-leveraged food franchising business.

Key activities included:

  • Business model review and strategy reassessment
  • Simultaneous execution of a refinancing of the credit facility and sales leaseback transaction of a significant real estate portfolio
  • Development of additional actions for current owners to further enhance the liquidity of the business

Optimizing IT System

Morningside Technology Solutions “MTS” believes in running lean and we work with our clients to bring optimum performance from deployed systems thereby providing maximum return from investment. Members of the MTS team was recently deployed to support IT assessment and improvement efforts for an industry leading supply chain business servicing Fortune 500 companies.

Key actions taken:

  • Documented and streamlined existing order platform and processes resulting in an optimized order to cash cycle and decreased orders requiring human intervention.
  • Optimized existing software instances to run more efficiently thus reducing costly downtime.
  • Fully integrated business intelligence tools with operational/financial systems in the field, providing internal and external stakeholders with live dashboards enabling greater speed for making decisions.
  • Developed a database that enhanced the ability of dispatch professionals to identify optimized choices for vendor selection and to maximize pricing opportunities while choosing cost efficient execution strategies.
  • Integrated the client’s customer and vendor portals to interact directly with dispatch systems increasing efficiency through automation.
  • Reorganized the internal IT department to bring expertise in house and reduce external employee footprint as well as cost.
  • Renegotiated contracts with service providers to reduce IT spend by 45% by the end of incumbency.

Technology Enablement of Operations

Morningside Technology Solutions “MTS” helps in designing and developing roadmaps for our clients that will enhance the use of current systems and generate technology enablement of other low-tech processes allowing for greater efficiency in operations and achieving goals/milestones set by executive management. A MTS professional led the technology enablement strategy and execution for a client who that was facing growing pains due to a high rate of growth and lack of technology enabled processes.

Key achievements:

  • Documented the roles and processes for all areas of the business to help strategize with key stakeholders in identifying inefficiencies and key performance indicators.
  • Designed and developed a proprietary ordering platform / portal which was unique to the industry and helped electronically connect the company to its customers creating greater efficiency and scale.
  • Conducted a seamless transition for existing operational and financial systems from manual servers to the cloud reducing the cost of maintenance and increasing security for the organization.
  • Implemented a layered managed-services helpdesk function to help client workforce in various time zones around the clock.
  • Built redundancy within the implemented systems and set up a disaster recovery plan for all sites.
  • Implemented cost effective tools to monitor all incoming/outgoing operational activity at each client facility.
